Stagflow is a self-custody interface for trading stock tokens on Robinhood Chain. You keep control of your wallet and you are responsible for the transactions you sign. Please read these Terms carefully, especially the sections on stock tokens, risks and limitation of liability.
§1 AGREEMENT
These Terms of Use ("Terms") are an agreement between you and [COMPANY LEGAL NAME] ("Stagflow", "we", "us") governing your use of the Stagflow website and interface (the "Service"). By accessing or using the Service you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
§2 WHAT THE SERVICE IS
Stagflow is a software interface that displays public market data for tokenized stock assets on Robinhood Chain and lets you build transactions that interact with third-party smart contracts, primarily Uniswap v3 liquidity pools. You sign every transaction yourself, in your own wallet.
Stagflow is not a broker, dealer, exchange, custodian, investment adviser or bank. We do not take custody of assets, match orders, execute trades on your behalf, or hold funds for anyone. We do not issue, sponsor or guarantee any token shown in the Service, and we are not affiliated with Robinhood or any token issuer. Names of chains, issuers and underlying companies are used only to identify assets.
§3 ELIGIBILITY AND RESTRICTED USE
To use the Service you must be at least 18 and able to form a binding contract. You confirm that:
- you are not located in, or a resident or national of, any country or region subject to comprehensive sanctions;
- you are not on any sanctions or restricted-party list;
- using the Service and holding or trading the assets shown is lawful where you live, including any restrictions the issuer of a stock token places on who may hold or acquire it;
- you will not use a VPN or other means to get around these restrictions.
We may restrict access from any location or wallet at our discretion.
§4 ACCOUNTS AND WALLETS
You can connect an external wallet or sign in with email, X (Twitter) or Discord. Signing in creates an embedded wallet provided by Privy, our wallet infrastructure provider. You are responsible for every action taken with your login methods and wallets.
Embedded-wallet keys are managed by Privy's systems; Stagflow cannot see, recover or use them. You can export your embedded wallet's private key from the account menu. Anyone who obtains that key controls the wallet. Store it safely and never share it. We cannot reverse transactions or restore access to lost wallets.
§5 ABOUT STOCK TOKENS
Stock tokens are blockchain tokens whose value is intended to relate to an underlying share or fund. Unless the issuer's own terms say otherwise, holding a stock token does not make you a shareholder and gives you no voting rights, no direct claim on the underlying company, and no guarantee of dividends or redemption. Each token is governed by its issuer's terms, which you should read before trading.
Prices in the Service come from on-chain Uniswap v3 pools, not from stock exchanges. They can differ materially from the underlying asset's market price, particularly outside exchange hours, when liquidity is thin, or during volatile periods. Some tokens may have no usable liquidity at all.
§6 TRADING THROUGH THE SERVICE
Before you sign a swap, the Service simulates it against the current pool state and sets a minimum amount you will receive based on the slippage tolerance you choose. If the market moves beyond that tolerance before your transaction is included, it fails and you may still pay network fees. Approvals are requested for the exact trade amount.
For safety while the product is young, the Service limits each trade to about $250 in notional value. We may change or remove limits, pause features, or remove assets at any time.
You pay blockchain network fees and the liquidity-pool fees set by the pool. Stagflow does not currently charge its own fee; if that changes, it will be shown before you sign.
§7 RISKS YOU ACCEPT
Using blockchain-based assets is risky. By using the Service you understand and accept, among others:
- market risk: prices can fall sharply, and you can lose all of the value you trade;
- liquidity risk: you may be unable to sell, or only at a much worse price;
- smart-contract risk: bugs or exploits in third-party contracts (pools, routers, tokens) can cause loss;
- issuer risk: an issuer may pause, freeze, restrict or fail to honour its tokens;
- network risk: congestion, outages, reorganisations or forks of Robinhood Chain;
- regulatory risk: laws may change and affect the assets or your ability to use them;
- key risk: losing or leaking a private key or login method means losing control of your assets.
§8 NO ADVICE
Nothing in the Service is investment, financial, legal or tax advice, or a recommendation to buy, sell or hold any asset. Market data, statistics and charts are for information only and may be delayed, incomplete or wrong. Make your own decisions and get independent advice where appropriate.
§9 PROHIBITED CONDUCT
You agree not to:
- use the Service for money laundering, terrorist financing, sanctions evasion or fraud;
- manipulate markets, including wash trading or spoofing;
- attack, overload, scrape at abusive rates, or try to gain unauthorised access to the Service or its infrastructure;
- misrepresent your identity or impersonate others;
- use the Service in breach of these Terms or any applicable law.
§10 THIRD-PARTY SERVICES
The Service relies on services we do not control, including Robinhood Chain, Uniswap contracts, token issuers, Privy, wallet software, X, Discord and block explorers. Your use of them is governed by their own terms, and we are not responsible for their availability, conduct or content.
§11 INTELLECTUAL PROPERTY
The Service's design, text and software are owned by Stagflow or its licensors. We grant you a limited, revocable, non-exclusive licence to use the Service for its intended purpose. Third-party names and marks belong to their owners.
§12 DISCLAIMERS
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, or that any data shown is accurate or current.
§13 LIMITATION OF LIABILITY
To the fullest extent permitted by law, Stagflow and its affiliates, officers, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, tokens or other digital assets, arising from or related to your use of the Service. Our total liability for any claim is limited to the greater of the fees you paid us in the twelve months before the claim, or USD 100. Some jurisdictions do not allow these limits, in which case they apply only as far as permitted.
§14 INDEMNITY
You agree to indemnify and hold harmless Stagflow and its affiliates from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of law, or your misuse of the Service.
§15 SUSPENSION AND TERMINATION
We may suspend or end your access to the Service at any time, including if we reasonably believe you have breached these Terms or to comply with law. Because the Service is non-custodial, ending access does not affect assets held in your wallets, which you can always manage with other compatible software.
§16 CHANGES
We may update these Terms. We will change the effective date above and, for material changes, give notice through the Service. Continuing to use the Service after an update means you accept the updated Terms.
§17 GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of [GOVERNING JURISDICTION], without regard to conflict-of-law rules. Disputes will be resolved in the courts of [GOVERNING JURISDICTION], unless mandatory law where you live gives you the right to bring proceedings elsewhere.
